These Terms govern access to and use of ActionSEO. “ActionSEO”, “we”, “us” and “our” mean Franco & Yamakawa Consultoria LTDA. “Customer”, “user”, “you” and “your” mean the individual or legal entity purchasing, accessing or using the service.

1. Contract documents

The agreement consists of:

  • the relevant product page, plan description or signed order form;
  • the checkout summary and accepted purchase conditions;
  • these Terms;
  • the ActionSEO Privacy Policy;
  • the applicable Acceptable Use and Fair-Use Policy;
  • the applicable Refund and Withdrawal Policy;
  • the applicable Data Retention and Portability Policy; and
  • any Data Processing Addendum or individually negotiated instrument.

An individually negotiated instrument prevails over these standard documents. The checkout summary and plan specification prevail for the commercial limits purchased in that order.

2. Service

ActionSEO is a hosted software service that may provide website auditing, crawling, issue management, missions, keyword monitoring, competitor monitoring, Google Search Console reporting, Google Analytics 4 reporting, recommendations, project management and report generation.

Available functions depend on the plan, access period, usage limits, connected third-party services and technical availability.

ActionSEO is not a search engine, advertising platform, legal adviser, accountant, tax adviser or guarantee of commercial performance.

3. Account and authority

You must provide accurate registration, billing and contact information and keep it current. You are responsible for safeguarding credentials and for activity conducted through your account.

You may connect or submit only websites, Search Console properties, Google Analytics properties, accounts and data that you are lawfully authorised to access and process. Agency users are responsible for obtaining the necessary authority from their clients.

Accounts may not be sold, transferred, rented or shared outside the authorised customer organisation unless the applicable plan or a written agreement expressly permits it.

4. SaaS licence

Subject to payment and compliance with the agreement, ActionSEO grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the hosted service during the applicable access term.

No ownership in the software, source code, infrastructure, branding or proprietary methods is transferred. You retain ownership of content and data that you lawfully submit, subject to the limited processing rights necessary to provide, secure and support the service.

5. Plans, quotas and fair use

Each plan includes the limits disclosed before purchase, which may include projects, domains, users, keywords, countries, devices, competitors, checks, crawls, pages per crawl, reports, storage and history.

A monthly usage allowance is measured during the applicable monthly usage cycle. Unused allowance does not roll over unless expressly stated. A crawl allowance described as “per project” or “per domain” is measured separately for each eligible project or domain.

We may use queues, concurrency limits, caching, rate limits and anti-abuse controls to preserve security and availability. We will not impose an undisclosed overage charge. Where additional capacity is needed, we may offer an upgrade, add-on or custom plan.

“Unlimited” applies only where expressly stated and remains subject to reasonable technical and anti-abuse safeguards.

6. Google services and Google user data

Connecting Google Search Console or Google Analytics 4 is optional. A user must deliberately select the relevant connection function and complete Google’s OAuth authorisation process.

ActionSEO requests only the read-only Google scopes necessary for the selected functions. ActionSEO does not request permission to modify Search Console or Google Analytics properties.

Information received from Google APIs is used only to provide or improve the user-facing ActionSEO functions requested by the authorised user, such as dashboards, SEO opportunities, missions, stored comparisons and reports.

ActionSEO does not use Google user data for targeted, personalised, interest-based or retargeted advertising; data brokerage; information resale; credit or lending decisions; unrelated profiling; surveillance; or training artificial-intelligence or machine-learning models.

ActionSEO’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

Detailed information about the Google data accessed, its use, storage, sharing, security, retention and deletion is provided in the ActionSEO Privacy Policy.

You may disconnect a Google provider from inside ActionSEO. The internal disconnect control removes the stored authorisation for the selected provider and deletes its imported snapshots for the selected project. You may also revoke access through your Google Account.

7. Other third-party services and data

ActionSEO may depend on hosting providers, payment processors, email providers, website infrastructure, fiscal providers and optional SEO or SERP data providers.

Third-party services may delay, sample, restrict, modify or discontinue data or APIs. We may replace a provider where reasonably necessary for security, continuity, compatibility, cost control or service improvement.

Search Console positions are impression-weighted averages for the connected property and are not neutral real-time rankings. Competitor rankings may require a separate data provider or customer-supplied data. ActionSEO will identify estimates or third-party data where reasonably practicable.

8. No SEO-results guarantee

Search engines independently determine crawling, indexing, ranking and presentation. ActionSEO does not guarantee rankings, traffic, revenue, leads, sales, indexing, inclusion in AI-generated results or any other outcome.

Reports and recommendations are informational and should be reviewed using professional judgement before implementation.

9. Fees, taxes and fiscal documents

Prices, currency, term, taxes and payment conditions are displayed before purchase. You are responsible for providing accurate billing and tax information.

Franco & Yamakawa Consultoria LTDA will issue the applicable Brazilian fiscal document in accordance with its tax obligations and the information available for the transaction.

Unless checkout expressly states otherwise, an annual ActionSEO plan is a prepaid, non-renewing 12-month access product. Renewal requires a separate purchase.

10. Annual access and renewal

Annual access begins when payment is confirmed, unless the order specifies another activation date, and continues for 12 months.

If renewed before expiry, the new term may be added to the existing expiry date. If renewed after expiry, access restarts when the new payment is confirmed.

Plan prices and features offered to future customers may change. Such changes do not retrospectively alter an active paid term or accrued rights under an earlier order.

11. Trials and free access

Trial or free access may have reduced limits, fewer features, shorter retention, no service-level commitment and additional anti-abuse restrictions. We may limit one trial per person, email address, account, organisation, payment method, device or other reasonable identifier.

Trial access does not create a right to continued availability or to any feature not expressly included in the trial description.

12. Legacy lifetime purchases

A product expressly sold as lifetime access before the introduction of annual plans remains governed by the exact product description, checkout information, order confirmation and terms accepted at the original purchase.

These Terms do not create a new lifetime entitlement for future customers.

13. Expiry, grace period and archived data

After expiry, ActionSEO may provide a read-only grace period of up to 30 days. During that period, you may be able to sign in, review stored projects, export available data and renew, while new crawls, imports and project creation may be disabled.

After the grace period, project data may be archived for up to 12 months. Active API processing may stop, Google tokens may be revoked and access may be limited to renewal, export or deletion functions.

After the disclosed retention period, project data may be deleted or anonymised, except records that must be retained for tax, accounting, fraud prevention, security, legal claims or other legal obligations.

You are responsible for exporting data you wish to retain permanently.

14. Export, deletion and reactivation

Where available, ActionSEO provides export in a structured format. Exports do not include passwords, payment-card information, secret keys, proprietary source code, Google access or refresh tokens, API credentials or encryption keys.

A later import may be rejected where an export is unsafe, corrupt, incompatible, altered, unlawful or cannot be reliably attributed to the customer.

The “Delete my ActionSEO data” function deletes ActionSEO workspace data associated with the user but does not automatically delete the separate WordPress or store account.

Where retained data remains available, renewal may reactivate the same account and projects without requiring a new account.

15. Service modifications

We may modify the service for valid reasons, including security, legal compliance, API changes, compatibility, reliability, performance, abuse prevention, provider replacement and product improvement.

During an active paid term, we will not materially reduce the core purchased service without a valid reason, reasonable notice where practicable and an appropriate remedy where required by applicable law.

We may add, remove or reclassify beta, experimental, free or non-core functions.

16. Maintenance and availability

We use reasonable care to operate the service but do not promise uninterrupted or error-free availability. Maintenance, security incidents, hosting failures, third-party outages and force-majeure events may affect access.

No service-level agreement applies unless separately signed.

17. Customer content and instructions

You grant ActionSEO the limited rights necessary to host, copy, analyse, display, secure and process your content for service delivery, support, fraud prevention and legal compliance.

You must not submit malicious code, unlawfully obtained information, special-category data that is not necessary for the service, confidential information you are not authorised to disclose, or content that infringes third-party rights.

18. Privacy and data protection

Personal data is processed under the ActionSEO Privacy Policy and applicable data-protection law, including the LGPD.

Where ActionSEO acts as processor for a business customer, the parties may enter into a Data Processing Addendum.

Marketing communication is optional and independent from essential account, security, billing and service communication.

19. Acceptable use

You must not:

  • circumvent plan, rate, usage or security limits;
  • share access with unauthorised persons;
  • overload, scrape, attack or disrupt ActionSEO;
  • reverse engineer or extract source code except where mandatory law expressly permits;
  • obtain unauthorised access to third-party accounts or data;
  • use the service for unlawful surveillance, credential theft or infringement;
  • resell hosted access unless the applicable plan expressly permits it;
  • present estimates or third-party data as guaranteed facts.

20. Suspension

We may temporarily suspend affected access where reasonably necessary because of non-payment, security risk, fraud, unlawful conduct, serious or repeated breach, excessive activity threatening stability or a legal obligation.

Where appropriate, we will provide notice and an opportunity to remedy. Suspension will be proportionate to the risk.

21. Termination

You may stop using the service at any time. Termination does not automatically create a refund except where required by mandatory law, the applicable Refund and Withdrawal Policy or an uncured material breach by ActionSEO.

We may terminate for material breach after reasonable notice and an opportunity to cure, unless immediate action is reasonably necessary for security, fraud, unlawful conduct or protection of third parties.

22. Discontinuation

ActionSEO is provided as a hosted digital service. We may permanently discontinue it for valid business, technical, legal, security, provider, cost, operational or strategic reasons.

We will use commercially reasonable efforts to give affected customers advance notice and a reasonable opportunity to export available project data before access ends.

Where possible, we may continue limited access until the end of the customer’s active paid term, provide a replacement or alternative service, provide export access, provide service credit or take another reasonable transition measure.

If ActionSEO is discontinued before the end of an active prepaid term and no continued access or reasonably comparable alternative is provided for the remaining period, affected customers will receive the remedy required by applicable law and, where appropriate, a proportionate refund or service credit for the unused prepaid period.

23. Withdrawal and refunds

Consumer withdrawal and refund rights are described in the applicable ActionSEO Refund and Withdrawal Policy. Nothing in these Terms excludes rights that cannot lawfully be excluded.

Unless mandatory law or the applicable policy provides otherwise, fees are not refundable after the relevant refund window because access, infrastructure, support capacity and third-party services are made available when the plan is activated.

24. Intellectual property

ActionSEO software, branding, documentation, interface, report templates and proprietary methodologies belong to Franco & Yamakawa Consultoria LTDA or its licensors.

The customer retains rights in customer content and independently created materials. Third-party data remains subject to the applicable provider’s rights and terms.

25. Confidentiality

Each party will protect non-public confidential information received from the other and use it only for the agreement. This does not apply to information that is public without breach, lawfully known, independently developed, lawfully received from another source or required to be disclosed by law.

26. Warranties

We warrant that the service will be supplied with reasonable care and skill. Except for express warranties and mandatory legal rights, no additional warranty is given regarding uninterrupted availability, particular rankings, commercial outcomes or complete third-party data accuracy.

27. Liability

Nothing limits liability that cannot legally be limited, including applicable liability for fraud, wilful misconduct, gross negligence, death, personal injury or mandatory consumer rights.

For business customers, to the extent permitted by law, aggregate liability arising from ActionSEO is limited to the fees paid or payable for the affected service during the 12 months preceding the event giving rise to the claim.

For business customers, neither party is liable for indirect or consequential loss, loss of anticipated profit or loss arising from implementation without reasonable professional review, except where such limitation is prohibited by law.

Consumer liability remains governed by mandatory applicable law.

28. Business-customer indemnity

A business customer will indemnify ActionSEO against third-party claims caused by its unlawful content, unauthorised connection of accounts, infringement of rights or intentional misuse. This does not apply to consumers where prohibited by law.

29. Changes to these Terms

The version accepted at purchase governs the paid term unless a change is required by law, security or a necessary technical development.

Material changes will be communicated through a durable or reasonably accessible channel. Changes do not retrospectively remove accrued rights. Where fresh acceptance is legally required, affected new functionality or renewal may depend on that acceptance.

30. Electronic contracting and evidence

You agree that contracts, notices and acceptance records may be created and stored electronically. We may retain the order, timestamp, account, accepted document versions, content hashes, IP-derived security record and user agent as evidence of the transaction, subject to the ActionSEO Privacy Policy.

31. Governing law and dispute resolution

The agreement is governed by the laws of the Federative Republic of Brazil.

For business customers, the courts of Campinas, State of São Paulo, Brazil, are elected to resolve disputes, to the extent legally permitted.

For consumers, this clause does not remove mandatory rights, competent forums or protections available under applicable law, including protections associated with the consumer’s habitual residence where applicable.

Before commencing proceedings, the parties should attempt in good faith to resolve the matter through the support and legal contact identified above.

32. General

If a provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.

The customer may not assign the agreement without written consent, except as part of a lawful transfer of its business. We may assign the agreement as part of a corporate reorganisation, merger, financing or sale, provided customer rights are not materially reduced.

These Terms and the incorporated documents constitute the agreement concerning ActionSEO.
